BACKGROUND

In October 2024, the City released a Request for Proposals (RFP) seeking proposals from qualified firms for the development, operation, and maintenance of solar photovoltaic carports at the City-owned property located at 5450 Guardian Way (Chino Police Department). Eight proposals were received, and the proposal submitted by SiteLogIQ was deemed to be the most responsive to the City’s requirements.

In its proposal, SiteLogIQ identified its key business partners and affiliates, including BluePath Financial, which was slated to act as the project financier. In effecting financing for the project, BluePath Financial created a special purpose limited liability company (LLC) named BP Solar Chino LLC. The creation of LLC’s is a common business practice to facilitate a single project or transaction while isolating financial risk and assets.

On June 3, 2025, the City Council approved a Power Purchase Agreement with BP Solar Chino LLC. While the agreement correctly named BP Solar Chino LLC as the contracting entity, the accompanying staff report referenced SiteLogIQ as the other party to the agreement. As outlined in SiteLogIQ’s original proposal, SiteLogIQ will serve as the project developer and contractor, while the project will be financed by BluePath Financial through BP Solar Chino LLC.

ISSUES/ANALYSIS

The Power Purchase Agreement has been executed, but to ensure full transparency, staff is providing these additional details regarding the deal structure with the City Council to receive and file.
